Yourmissions :

As part ofthe strengthening of its Legal Department and an ambitious digitaltransformation of the legal function, Ceva is looking for a LegalCounsel to join its operational and legal teams based in Libourne.

The CevaLegal Department is currently leading a major modernization program, including advanceddigitalization of legal processes (CLM), integration of legal AI tools,automated contract generation, and more.

As thefuture Legal Counsel, you will be fully involved in this transformation and will contribute to shaping the legal practices of tomorrow. A stronginterest in digital tools, legal tech and innovation applied to law will be akey asset.

Reportingto the Legal Director for the Western Europe / Middle East / Africa (WEMEA) region, you will operate in a French and international environment,working closely with a wide range of internal teams.

Main responsibilities :

- Handle matters related to distribution law, competition law and commercial contracts, contributing to the review, structuring and securing of operational activities.
- Secure distribution and commercial activities: review and validation of distribution schemes, drafting and negotiation of distribution agreements, handling issues related to restrictive trade practices, assessing competition risks (cartels, abuse of dominance, resale below cost, vertical restraints), and supporting teams in the operational application of competition rules.
- Support business teams with the analysis and management of commercial, marketing, and industrial projects.
Draft, negotiate and manage a wide variety of commercial agreements, including partnerships, service agreements, NDAs, and commercial terms.
- Actively participate in the digital transformation program of the Legal Department: deployment of CLM tools, development of automated templates, use of legal AI.
- Conduct legal monitoring (competition, distribution, commercial law) and contribute to compliance efforts.
- Collaborate with entities across the WEMEA region, working closely with local and central teams.
Take part in transversal projects aimed at improving legal processes and enhancing digital capabilities within the organization.

Yourprofile :

Required qualifications :
- Master's degree in Law (competition law, distribution law, commercial law).
- At least 3 years of experience in an international environment or law firm, ideally in the pharmaceutical or healthcare sector.
- Fluent English, spoken and written.

Digital skills :
- Strong interest in legal tech and digital tools.
- Ability to understand workflows, processes and tools.
- Comfortable with collaborative platforms (SharePoint, contract management tools, dashboards...).

- Strong legal rigor and analytical mindset.
- Intellectual and technological curiosity.
- Excellent interpersonal skills.
- Ability to thrive in a fast-changing environment.
