Within the Group, you will join the Group Legal Department, a central legal function supporting AXA SA and Group entities on strategic, regulated and market-facing matters. This Department is split into 4 teams: (i) Corporate Finance & Investment, (ii) Board Secretary - Corporate law & Governance, (iii) Legal M&A, Partnerships and Corporate Transformation and (iv) Insurance, Reinsurance & Strategic Projects.

Within this Department, you will be part of the Corporate Finance & Investment team (5 persons), reporting directly to the Head of Corporate Finance & Investment.

As a member of the Corporate Finance & Investment team, you will interact with various Group Departments in particular Group Investor Relations and Communication, Brand and Sustainability, but also Group Finance, Group Investment and Group Risk Management.

YOUR ROLE AND RESPONSIBILITIES

The Senior Disclosure lawyer role is primarily focused on disclosure and market integrity matters, while also covering corporate finance transactions for AXA SA and selected Group companies.
  • For disclosure matters, you will be responsible for the legal review and quality control of AXA's public disclosure (in particular its regulated and financial disclosure), and for advice and governance on inside information and Market Abuse Regulation issues relevant to a publicly listed French issuer. This means ensuring that Group disclosures and disclosure practices are aligned with AMF, and European disclosure rules and guidance, as well as European and international best practices. In that context, you will:
    • Review and assist with drafting of periodic and ongoing disclosures, including the Universal Registration Document, half-year financial reports, regulated information and regulatory reports, press releases, investor/analyst presentations and website content.
    • Challenge draft disclosure for adequacy, consistency and relevant risk characterization, while ensuring it does not contain unsupported statements or material omissions.
    • Advise on inside information, delayed disclosure, insider lists, closed periods and dealing restrictions under the Market Abuse Regulation.
    • Contribute to disclosure governance, controls and procedures, including disclosure committee processes and materials for the Board of Directors and its Committees.
    • Stay up-to-date on applicable disclosure regimes and socialize best practices and regulatory updates with the Group Legal team and other departments.
  • For corporate finance matters, you may also be involved in the legal aspects and documentation of financing transactions to which AXA SA and certain Group companies are parties, including:
    • External bank financing: syndicated loans, club deals and bilateral loans with the Group's premium banks.
    • External capital markets and capital management transactions: EMTN/NEU CP/NEU MTN Program Updates, debt/hybrid issues, rights issues and share buybacks.
    • Internal financing transactions across the Group: internal loans, cash pooling, financing internal reorganizations, guarantees.


YOUR PROFILE

  • You are a US-trained practitioner or have a French legal qualification (CAPA) and admission to the bar in New York or other U.S. state, or an equivalent profile; a J.D. or LL.M. from a U.S. law school would be valued.
  • You bring at least 6-8 years' post-qualification experience, ideally including substantial training in the capital markets practice of an international law firm and familiarity with listed issuer disclosures and issues.
  • You have hands-on experience drafting prospectuses, offering documentation, press releases, and/or other periodic disclosure, as well as related contractual drafting expertise in capital markets contexts (subscription agreements, etc.), combined with strong knowledge of AMF, Prospectus Regulation, Market Abuse Regulation and Transparency Directive requirements.
  • Knowledge of U.S. federal securities law concepts, sustainability reporting obligations and financial services or insurance-sector disclosure requirements would be a strong asset.
  • You understand financial communication, corporate finance, banking, capital markets, company and contract law, can master regulatory law concepts applicable to the insurance industry, and can assess legal risks while proposing pragmatic solutions aligned with applicable laws and Group standards. You can also translate complex legal analyses into succinct and impactful recommendations for non-legal business partners.
  • You are rigorous, intellectually honest and comfortable managing sensitive information with absolute confidentiality and integrity.
  • You combine excellent bilingual drafting skills in French and English with strong analytical ability, communication skills, transaction management and stakeholder relationship management.
  • You are collaborative, autonomous, client-driven and reactive, and able to manage multiple workstreams in parallel under firm regulatory or market-sensitive deadlines.
